TERMS AND CONDITIONS 

  1. OBJECT AND SCOPES 
    1. All sales made by MIRADA SARL (‘MIRADA’) to you, the client, (‘You’) are subject to these terms and conditions of sale (‘Terms and conditions’) agreed with MIRADA. Any changes to these will have to be made in writing and signed by MIRADA or a properly authorized representative. Any product order to MIRADA implies your unqualified acceptance of these Terms and conditions in accordance with the provisions of the documents issued or signed by MIRADA. 
    2. MIRADA SARL is a French company, registered under the laws of France under the number 491 180 048, whose registered offices are: 2 rue de la Mabilais 35000 RENNES (FRANCE).  
    3. The specific conditions agreed by MIRADA in the context of a specific sale will prevail over these Terms and conditions. 
    4. The reference language of the Terms and conditions is English. If a translation of the Terms and conditions is available, only the English-language version has contractual value.  
  2. DEFINITIONS
    • ” You” means any person, whether natural or legal, who orders a Product. 
    • “Purchase order”: document delivered by MIRADA and signed by You which contains the details on the Products ordered by You. 
    • “Product(s)” refers to items marketed by MIRADA ordered by You.
  3. DELIVERY, TRANSFER OF OWNERSHIP, TRANSFER OF RISK 
    1. Orders will be send by MIRADA as follows:  
      • Orders placed between the 1st and the 9th will be send the 15th of the month; 
      • Orders placed between the 10th and 25th will be send the 30th of the month; 
      • Orders placed between the 26th and the 31st will be send the 15 of the following month.   
    2. The delivery delays are from two (2) to three (3) weeks in Europe and three (3) to five (5) weeks for the rest of the world once MIRADA has received the material. 
    3. Delivery times are given only as an indication and don’t constitute a firm commitment. 
    4. Delivery can only take place if You are up to date with your obligations and regulations to MIRADA, regardless of the cause. A delay in delivery does not permit You to cancel, refund the Product, or compensation to You. 
    5. The Products are sold FCA for deliveries in metropolitan France or for DOM-COM-POM, EXW outside French territory. 
    6. The transfer of ownership of the Products will be suspended until the full payment of the price by You regardless of the date of delivery of the Products. 
    7. The transfer of risk to You is effective at the order  
    8. In case of delivery delay of thirty (30) calendar days after the delivery time estimated, You will inform MIRADA at sales@mirada.fr  or by registered letter with acknowledgement of receipt or any similar process at MIRADA’s registered office. 
    9. MIRADA will then specify the reasons for the delay or inability to make the delivery. If delivery is not possible, You can cancel the transaction. MIRADA then undertakes to reimburse the full amount paid to You, without the possibility for You to claim damages. 
    10. You will not be able to refuse the delivery of partial or damaged Products. The notification of errors revealed at the time of receipt of the Products must be formulated by You to MIRADA on the shipping documents within forty-eight (48) hours after receipt of the Products. In the absence of such notification, You will lose any right to claim the status of the Products and their compliance with the invoice and MIRADA will no longer be liable for any defects that would or could be revealed by a Product review. You will be required to store the Products until they are returned to MIRADA. 
  4. GUARANTEE
    1. You benefit from the manufacturer’s guarantee apply to the Product. In the event of a hardware malfunction, You will refer to the manufacturer’s warranty.  
    2. You must : 
      • Comply with and enforce the applicable regulations and the storage conditions and instructions for use, implementation and maintenance contained in the manual of use of each Product;  
      • Sign the delivery voucher at reception. The delivery voucher specifies the type of equipment or Product delivered, the quantity (if applicable), the date of receipt. 
  5. MIRADA’S LIABILITY 
    1. MIRADA will not be held responsible for any malfunction of the Product except if You report proof that MIRADA’s failure or fault is the cause of the malfunction. In this case only the real, direct, personal and certain injury suffered by You will be brought in compensation. 
    2. MIRADA will make reasonable efforts to deliver the Products on the dates or deadlines specified on the Purchase Order. MIRADA will not be liable in the event of a delay in delivery and You will not be able to refuse, in whole or in part, the delivery of the Products that have been delayed, or request the cancellation of the sale, or claim damages in any capacity. 
    3. MIRADA will not be liable to You if she fails in whole or in part to its obligations if such a breach is due to force majeure. Events beyond the control of MIRADA, which it could not reasonably be required to foresee, and which it could not reasonably avoid or overcome, will be deemed to be a case of force majeure or fortuitous, to the extent that their occurrence made it impossible to carry out the obligations. MIRADA must immediately inform You of the occurrence of a case of force majeure and the expected effect of the force majeure case on the performance of MIRADA’s obligations. 
    4. However, MIRADA will have to make reasonable efforts to limit the consequences that force majeure could have on the performance of the contract or to find alternative ways to carry out its obligations under reasonably comparable economic conditions.  
    5. In all cases where MIRADA is liable, for any cause and in any capacity, its liability will be limited to the repair of direct damages, and excluding any loss of margin or turnover. In any event, the total liability incurred by MIRADA will not exceed the amount paid by You to MIRADA in the last twelve (12) months. 
  6. SHIPPING COSTS 
    1. All costs of shipping (including custom duties) shall be paid by You. The Purchase order contains cost of shipping according to Your country.  
  7. PRICES
    1. All prices are stated in Euros and excluding VAT and any tax, and excluding any exchange fee, which must be paid by You at the rate in force in France. 
    2. MIRADA has the right to change the prices or list of Products available for sale at its convenience without prior notification. However, MIRADA will not change any price after a purchase order has been placed and paid by You. 
    3. MIRADA’s quotes are only valid in writing, for a period of thirty (30) working days from its date, except any special mention on the quote. 
    4. Discounts allowed by MIRADA will be indicated on the Purchase order. These discounts will be only valid for the Purchase order to which they apply and cannot be tacitly renewed. 
    5. The price list of Products applicable at the time of the Purchase order, and accepted by MIRADA, will determine the price charged, unless MIRADA notifies You a different price.  
  8. PAYMENT TERMS 
    1. The payment is made by You at the order. The payment can be made by bank transfer. Only the actual receipt of the amounts in the bank account previously indicated by MIRADA to You will be considered to be worth full payment within the meaning of these Terms and conditions. 
    2. You will not be able to make any deductions or compensations between any sums due to MIRADA and any sums that would be due or disputed by MIRADA. 
      • MIRADA will deliver the Products to You after until the reception of your payment in its bank account. 
  9. PERSONAL DATA PROTECTION 
    1. Information issued by You or obtained during transactions with You will be retained by MIRADA in accordance with the applicable and applicable data protection laws.  
    2. The purpose of MIRADA’s processing, its affiliates, agents and subcontractors is to provide the Product, review, development and improvement of the Product and all related Product, as well as the provision of all relevant information to You.   
    3. The recipients of the data are: 
      • The qualified staff within MIRADA; 
      • The subcontractors or external providers of MIRADA. 
    4. In accordance with the privacy regulations of a personal data, in particular Regulation 2016/679 (‘the GDPR’) and Law 78-17 of 6 January 1978 completed in 2018 relating to personal information, any person concerned is informed that, in accordance with Articles 13 and 14 of the GDPR, they have a right to access, correct, delete personal data relating to them, a right to limit and object to its treatment, a right to portability, a right to define general and specific guidelines defining how it intends to exercise, after death, these rights, which it may exercise by a mail to MIRADA either at dpo@mirada.fr or by postal delivery  mail (or any similar process) to the registered office of MIRADA.  
    5. According to the GDPR, You are a data controller and MIRADA is a data processor. You define purposes and means to process data and MIRADA processes data on behalf of You. 
    6. You must deal with such requests by the concerned persons in accordance with the applicable laws in your country. 
  10. VARIOUS
    1. The validity, interpretation and execution of the Terms and conditions and more broadly of any contractual relationship between You and MIRADA will be governed by French law only. 
    2. Any disputes that may arise from or in connection with the Terms and conditions will be subject to mediation and then to the jurisdiction of the Paris Commercial Court.. 
    3. MIRADA will not be deemed to have waived any of its rights or remedies regardless of whether it has renounced it in writing and if this waiver bears the signature of MIRADA’s duly authorized representative. The fact that MIRADA does not avail itself at any given time of any of these clauses cannot be worth waiving the use of those same clauses at a later date. 
    4. The nullity or inapplicability, for whatever reason, of one of the terms of these Terms and conditions cannot affect the validity or applicability of the other clauses. The fact that MIRADA does not avail itself of these Terms and conditions at any given time cannot be construed as a waiver to any of them at a later date. 
    5. You may not transfer or transfer any of your obligations under these Terms and conditions unless prior and written agreement of MIRADA.

    1. All services rendered made by MIRADA SARL (‘MIRADA’) to you, the client, (‘You’) are subject to these terms of services (‘Terms of services’) agreed with MIRADA. Any changes to these will have to be made in writing and signed by MIRADA or a properly authorized representative. Any services order to MIRADA implies your unqualified acceptance of these Terms of services in accordance with the provisions of the documents issued or signed by MIRADA.

    3. The specific conditions agreed by MIRADA in the context of a specific contract will prevail over these Terms of services.

  2. DEFINITIONS
    • “You” means any person, whether natural or legal, who orders a Service. 
    • “Purchase order”: document delivered by MIRADA and signed by You which contains the details on the Service ordered by You. 
    • “Service(s)” refers to service offers marketed by MIRADA ordered by You. MIRADA offers two types of services: 
      • Subscription on MIRADA’S Interactive Live platform to broadcast events live or delayed and diffuse information to audience. This platform includes moderation tools, quizzes, keywords clouds and survey to interact with the audience at any time.  
    • Software additives: production of graphic designs and standard video editing or creation of chapter in your video. 
  3. TECHNICAL PREREQUISITE  
    1. Use of the Services requires a compatible device, Internet access (fees may apply), and certain software (fees may apply), and may require obtaining updates or upgrades from time to time. Because use of the Services involves hardware, software, and Internet access, your ability to access and use the Services may be affected by the performance of these factors. High speed Internet access is recommended. You acknowledge and agree that such system requirements, which may be changed from time to time, are your responsibility. 
    2. MIRADA recommends subscribing to a dedicated line in order to broadcast your lives. Sharing bandwidth with one or several workstations can deteriorate the visual quality and can create interference in the streaming. The minimal bandwidth is 10 Mbps upload and download. 
  4. ACCESS CONDITIONS TO INTERACTIVE LIVE PLATFORM 
    1. Upon reception of the payment, MIRADA will assist You to set up the Interactive Live platform to allow You to use it. After this setting up, You will have access to the Interactive Live platform. 
    2. Interactive Live platform is not intended for use by individuals under the age of eighteen (18). You are responsible for checking the age of end users. The access may be terminated without warning if MIRADA believe that end user is under the age of eighteen (18). 
  5. USE OF SERVICES AND RESPONSABILITIES 
    1. You may only use software Services pursuant to the Terms of services. You are solely responsible for your use of the software Services. You shall abide by, and ensure compliance, with all laws.  
    2. You are responsible for the activities of all end users who access or use the Services through your account, and You agree to ensure that any such end user will comply with the Terms of services. You shall ensure compliance by end users with all applicable laws in your country. 
    3. You may be required to provide information about in order to register for and/or use software Services. You agree that any such information shall be accurate. You are entirely responsible for maintaining the security of your username and password and agree not to disclose such to any third party. 
    4. You are solely responsible for the content sent, transmitted, displayed or uploaded in using the software Services. You represent and warrant that You have the right to upload the content to Interactive Live platform and that such use does not violate or infringe on any rights of any third party.  
    5. You retain copyright and any other rights You already holds in content which You submit, post or display on or through, Interactive Live platform. 
    6. You may not reproduce, resell, or distribute the Services or any reports or data generated by the Services for any purpose unless You have been specifically permitted by MIRADA, except to Your customers only. 
    7. You agree that You will not use, and will not permit any end user to use, the Services to: modify, decompile, attempt to gain access to the source code of the Interactive Live platform ; use the Services in a way that abuses, interferes with, or disrupts Interactive live platform’s networks, Your account, or the Services; engage in illegal, fraudulent, false, or misleading activity; use the Services in violation of applicable law and regulations such as adult content, erotic, pornographic or explicit content, terrorism and political uprising or violence, etc. 
  6. PROPRIETARY RIGHTS 
    1. MIRADA and/or its suppliers, as applicable, retain ownership of all proprietary rights in the Services and in all trade names, trademarks, service marks, logos, and domain names associated or displayed with the Services, and in all software used to perform the Services. 
    2. The authorization given by MIRADA to You to use trade names, trademarks, service marks, logos, or domain names associated or displayed with the Services does not transfer any property rights on it to You. 
  7. MIRADA’S LIABILITY 
    1. MIRADA will maintain reasonable physical and technical safeguards to prevent unauthorized disclosure of or access to Content, in accordance with industry standards. MIRADA will notify You if it becomes aware of unauthorized access to Content. 
    2. You understand and agree that the Services are provided “as is” and MIRADA and its suppliers expressly disclaim all warranties of any kind regarding the results that may be obtained from the use of the Services. Use of the Services is at your sole risk. You will be solely responsible for any damage resulting from the use of the Services.  
    3. In no event will MIRADA or its suppliers be liable for any damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss or damage) arising out of the use of or inability to use the Services. 
    4. Under no circumstances will MIRADA be liable in any way for any content that is transmitted or viewed while using the software Services, errors or omissions in the content, any loss or damage of any kind incurred as a result of the use of, access or denial of access to content upload on Interactive Live platform.  
    5. Although MIRADA is not responsible for any content, MIRADA may delete any content, at any time without notice if MIRADA becomes aware that content violates any provision of this Terms of services.  
    6. MIRADA does not assume any responsibility for retention of any user information or communications between users. 
    7. In all cases where MIRADA is liable, for any cause and in any capacity, its liability will be limited to the repair of direct damages and excluding any loss of margin or turnover. In any event, the total liability incurred by MIRADA will not exceed the amount paid by You in the last twelve (12) months.

  9. PAYMENT TERMS 
    1. The payment is made by You at the order. The payment can be made by bank transfer. Only the actual receipt of the amounts in the bank account previously indicated by MIRADA to You will be considered to be worth full payment within the meaning of these Terms of services. 
    2. You will subscribe the Services for 12 months, and the Services are invoiced up front for these 12 months. The subscription will be renewable for another 12 months, except if You notify MIRADA one month before the renewal date that You want to stop the Services. 
    3. The streaming subscription is for a consumption of 100 viewer hours per month. Any supplementary viewer hour is charged 1,50 € which will be charged monthly. The connection data will be the evidence for the measurement of Your consumption. 
    4. You will not be able to make any deductions or compensations between any sums due to MIRADA and any sums that would be due or disputed by MIRADA. 
    5. After the payment by You, MIRADA provides You a Purchase order.  
    6. MIRADA does not deliver the Services until the reception of your payment in its bank account. 
  10. QUALITY OF SERVICE 
    1. You will immediately notify MIRADA, at sales@mirada.fr or by registered letter with acknowledgement of receipt or any similar process at MIRADA’s registered office, any information about the performance or safety of the Services, including, without limitation, any malfunction, any failure, any deterioration in the characteristics and/or performance, as well as any inaccuracies in the user records that the Client would have found. The Client will provide MIRADA with any relevant documentation relating to it or concerning end-users. The Client undertakes to provide, on request from MIRADA, an exhaustive list of all facilities in its equipment. 
    2. The Client will actively assist MIRADA by taking the measures required by MIRADA in the context of an action to be taken with regard to the Services purchased by the Client, including, without limitation, the implementation of any update, any improvement, any change of order, reminding users of the proper use of the Services. The Client will be responsible at his own expense for such assistance, unless otherwise stated. 
  11. TERMINATION
    1. If You have purchased a Service for a specific term, such termination will be effective on the last day of the then-current term.  
    2. The order form may provide that a renewal term will begin automatically unless either party provides notice of termination at least thirty (30) days prior to the commencement of the next renewal term.  
    3. If the You fail to comply with any provision of this Terms of services, MIRADA may terminate this Service immediately and retain any fees previously paid by You.
